Agreement to Terms

By accessing or using Spongi ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our App. We reserve the right to modify these Terms at any time, and your continued use of the App constitutes acceptance of any changes.

Use License

We grant you a limited, non-exclusive, non-transferable license to use the App for your personal, non-commercial use, subject to these Terms. You may not:

  • Modify or copy the App's materials
  • Use the materials for any commercial purpose or public display
  • Attempt to reverse engineer any software contained in the App
  • Remove any copyright or proprietary notations from the materials
  • Transfer the materials to another person
  • Use the App in any way that violates applicable laws or regulations

User Accounts

When you create an account with us, you must provide accurate and complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent or illegal activities.

Acceptable Use

You agree not to:

  • Use the App in any way that could damage, disable, or impair the App
  • Attempt to gain unauthorized access to any part of the App or related systems
  • Use any automated system to access the App without our permission
  • Harass, abuse, or harm other users
  • Upload or transmit viruses, malware, or any malicious code
  • Collect or harvest personal information about other users without their consent
  • Impersonate any person or entity or misrepresent your affiliation

User Content

You retain ownership of any content you create or share through the App ("User Content"). By posting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and display your content for the purpose of operating and improving the App. You are solely responsible for your User Content and the consequences of posting it.

Intellectual Property

The App and its original content, features, and functionality are owned by Spongi and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy, reliability, or availability of the App

We do not warrant that the App will be uninterrupted, secure, or error-free, or that any defects will be corrected.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPONGI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE APP.

Indemnification

You agree to indemnify, defend, and hold harmless Spongi and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the App, your violation of these Terms, or your violation of any rights of another person or entity.

Termination

We may terminate or suspend your account and access to the App immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the App will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Spongi operates, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the App shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use the App after any revisions become effective, you agree to be bound by the revised terms.
